Service Availability

We strive to provide reliable, uninterrupted access to our Service. However, we do not guarantee that:

  • The Service will be error-free or secure from unauthorized access

  • The results obtained from using the Service will be accurate or reliable

We reserve the right to:

  • Interfere with or disrupt the Service or servers or networks connected to the Service
  • Attempt to gain unauthorized access to any portion of the Service or any other systems or networks
  • Use the Service to transmit any viruses, malware, or other malicious code
  • Scrape, crawl, or use automated means to access the Service without our express written permission
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Remove, obscure, or alter any copyright, trademark, or other proprietary rights notices
  • Use the Service to compete with us or develop a competing product
  • Share your account credentials with others or allow others to access your account

Content Restrictions

  • You may only upload content that you own or have the right to use
  • You must comply with all applicable laws regarding recording and transcription, including obtaining necessary consents
  • You are responsible for ensuring that your use of the Service complies with all applicable privacy and data protection laws
  • Maximum file size for uploads is 500MB per file
  • Supported formats include common audio and video file types (MP3, WAV, M4A, MP4, MOV, etc.)

Account Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, for:

  • Violation of these Terms
  • Fraudulent, abusive, or illegal activity
  • Extended periods of inactivity
  • Non-payment of fees
  • Any other reason at our sole discretion

Upon termination:

  • Your right to access and use the Service will immediately cease
  • We may delete your account and all associated data after a grace period
  • You will not be entitled to any refund of prepaid fees (except as required by law)
  • Provisions of these Terms that by their nature should survive termination will remain in effect

Intellectual Property Rights

Our Intellectual Property

The Service and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, audio, design, selection, and arrangement) are owned by SylliQ, its licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes in accordance with these Terms. This license does not include any right to:

  • Resell or make commercial use of the Service or its contents
  • Collect or use any product listings, descriptions, or prices
  • Make derivative works of the Service or its contents
  • Download or copy account information for the benefit of another party
  • Use any data mining, robots, or similar data gathering or extraction methods

Your Content

You retain all ownership rights to the content you upload to our Service ("Your Content"), including:

  • Audio recordings
  • Transcriptions (though we generate them, you own the output)
  • Notes, tags, and annotations
  • Workspace information

By uploading Your Content to our Service, you grant us a worldwide, non-exclusive, royalty-free license to:

  • Store, process, and display Your Content as necessary to provide the Service
  • Use Your Content to generate transcriptions and AI-powered insights
  • Create backups and ensure data redundancy
  • Improve our AI models and Service (in aggregated, anonymized form only)

This license terminates when you delete Your Content from our Service, except for:

  • Content that has been shared with others (which they may retain)
  • Backup copies (which will be deleted in accordance with our retention policies)
  • Aggregated, anonymized data used for service improvement

Feedback

If you provide us with any feedback, suggestions, or ideas about our Service ("Feedback"), you grant us an unlimited, irrevocable, perpetual, royalty-free license to use, modify, and incorporate such Feedback into our Service without any obligation to you.

Trademarks

"SylliQ" and our logo are trademarks of SylliQ. You may not use our trademarks without our prior written permission. All other trademarks, service marks, and logos used on our Service are the property of their respective owners.

Payment and Subscription Terms

Subscription Plans

SylliQ offers various subscription plans with different features and usage limits:

Free Plan

  • Limited number of call uploads per month
  • Basic features
  • No payment required

Paid Plans (Starter, Professional, Enterprise)

  • Increased usage limits
  • Advanced features
  • Priority support
  • Billed monthly or annually

Current pricing and plan details are available on our pricing page. We reserve the right to change our pricing and plans at any time with reasonable notice.

Billing and Payment

Payment Processing: All payments are processed securely through our third-party payment processor, Razorpay. We do not store your complete payment card information on our servers.

Billing Cycle:

  • Monthly subscriptions are billed on the same day each month
  • Annual subscriptions are billed once per year
  • Billing begins immediately upon subscription activation

Automatic Renewal: Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You authorize us to charge your payment method for the renewal fee.

Payment Failure: If a payment fails:

  • We will attempt to process the payment again
  • We will notify you via email
  • Your access may be suspended if payment is not received within a grace period
  • Your subscription may be cancelled if payment issues are not resolved

Price Changes: We may change our subscription prices at any time. For existing subscribers:

  • We will provide at least 30 days' notice of price increases
  • The new price will apply starting with your next billing cycle after the notice period
  • You may cancel your subscription before the new price takes effect

Taxes

All fees are exclusive of applicable taxes (including VAT, GST, sales tax, etc.). You are responsible for paying all applicable taxes associated with your subscription. We will charge tax when required to do so by law.

Refund Policy

General Policy: All subscription fees are non-refundable except as expressly stated in these Terms or as required by applicable law.

Exceptions:

  • If we terminate your account without cause, we will refund the prorated portion of any prepaid fees
  • If you are not satisfied with our Service within the first 14 days of your initial paid subscription, you may request a full refund
  • If we make a material change to the Service that substantially reduces functionality, you may cancel and receive a prorated refund

Refund Requests: To request a refund, contact us at billing@sylliq.com with your account details and reason for the request. We will process approved refunds within 10 business days.

Chargebacks: If you initiate a chargeback or payment dispute, we may suspend or terminate your account. Fraudulent chargebacks may result in permanent account termination and legal action.

Usage Limits

Each subscription plan includes specific usage limits (e.g., number of call uploads per month). If you exceed your plan's limits:

  • Additional uploads may be blocked until your next billing cycle
  • You may be prompted to upgrade to a higher plan
  • We may charge overage fees if applicable to your plan

We will notify you when you approach your usage limits (typically at 80% and 100%).

Downgrades and Cancellations

Downgrading: You may downgrade your subscription plan at any time. The downgrade will take effect at the start of your next billing cycle. No refunds will be provided for the current billing period.

Cancellation: You may cancel your subscription at any time through your account settings or by contacting us. Upon cancellation:

  • You will retain access to paid features until the end of your current billing period
  • No further charges will be made
  • Your account will revert to the Free plan (if available) or be deactivated
  • Your data will be retained according to our data retention policy

Reactivation: You may reactivate a cancelled subscription at any time. Reactivation will be treated as a new subscription with immediate billing.

Data Privacy and Security

Your Data

We take the privacy and security of your data seriously. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

By using our Service, you acknowledge and agree that:

  • We will process your data in accordance with our Privacy Policy
  • You have read and understood our Privacy Policy
  • You consent to the collection, use, and sharing of your data as described in our Privacy Policy

Data Security

We implement industry-standard security measures to protect your data, including:

  • Encryption in transit (TLS/SSL) and at rest
  • Secure authentication and access controls
  • Regular security audits and monitoring
  • Secure backup and disaster recovery procedures

However, no method of transmission or storage is 100% secure. While we strive to protect your data, we cannot guarantee absolute security.

Data Ownership and Control

You retain ownership of all data you upload to our Service. You have the right to:

  • Access your data at any time
  • Export your data in a portable format
  • Delete your data (subject to legal retention requirements)
  • Control who has access to your data within your workspace

Recording Consent

You are solely responsible for ensuring that you have obtained all necessary consents and permissions before recording and uploading any calls or conversations to our Service. This includes:

  • Obtaining consent from all parties to the recording (where required by law)
  • Complying with all applicable wiretapping, recording, and privacy laws
  • Informing participants that the call is being recorded and transcribed

We are not responsible for your failure to obtain necessary consents or comply with applicable laws.

Data Retention and Deletion

Active Accounts: We retain your data for as long as your account is active and as necessary to provide the Service.

Media Files (Audio/Video): When you upload media files for transcription and analysis:

  • The original media file is automatically deleted 2 hours after processing completes
  • This deletion is permanent and cannot be recovered
  • Transcripts, AI-generated insights, and analysis results are retained permanently (or until you delete them)
  • This policy helps us minimize storage costs while preserving the valuable insights from your calls
  • You should download or save any media files you wish to keep before the 2-hour window expires

Deleted Content: When you delete content:

  • It is moved to trash and can be recovered for 30 days
  • After 30 days, it is permanently deleted from our systems
  • Backup copies are deleted according to our backup retention schedule (typically within 90 days)

Account Deletion: When you delete your account:

  • Your data is retained for 90 days to allow for account recovery
  • After 90 days, all data is permanently deleted
  • Some data may be retained longer if required by law or for legitimate business purposes (e.g., billing records, legal compliance)

Legal Holds: We may retain data longer if required by law, court order, or to resolve disputes.

Limitation of Liability and Disclaimers

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • TITLE
  • QUIET ENJOYMENT
  • ACCURACY OF DATA
  • SYSTEM INTEGRATION

WE DO NOT WARRANT THAT:

  • The Service will meet your requirements or expectations
  • The Service will be uninterrupted, timely, secure, or error-free
  • The results obtained from using the Service will be accurate or reliable
  • Any errors in the Service will be corrected
  • The Service is free from viruses or other harmful components

AI-Generated Content: Transcriptions and AI-generated insights are provided for informational purposes only. We do not guarantee the accuracy, completeness, or reliability of AI-generated content. You should review and verify all AI-generated content before relying on it for any purpose.

Third-Party Services: Our Service integrates with third-party services (e.g., Firebase, Razorpay, Google Gemini AI). We are not responsible for the availability, accuracy, or reliability of these third-party services.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SYLLIQ, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY:

Indirect, Incidental, Special, Consequential, or Punitive Damages, including but not limited to:

  • Loss of profits, revenue, or business opportunities
  • Loss of data or information
  • Loss of goodwill or reputation
  • Cost of substitute services
  • Business interruption
  • Personal injury or property damage

Direct Damages exceeding the amount you paid to us in the 12 months preceding the event giving rise to the claim, or $100 (whichever is greater).

This limitation applies regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.

Exceptions

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.

Nothing in these Terms excludes or limits our liability for:

  • Death or personal injury caused by our negligence
  • Fraud or fraudulent misrepresentation
  • Any liability that cannot be excluded or limited by applicable law

Indemnification

You agree to indemnify, defend, and hold harmless SylliQ, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your violation of any applicable laws or regulations
  • Your Content or any content you upload to the Service
  • Your failure to obtain necessary consents for recording and transcription

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you will cooperate with us in asserting any available defenses.

Dispute Resolution

Informal Resolution

Before filing a formal dispute, you agree to contact us at legal@sylliq.com to attempt to resolve the issue informally. We will work with you in good faith to resolve any disputes.

Governing Law

These Terms and any disputes arising out of or related to these Terms or the Service shall be governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to its conflict of law provisions.

Arbitration Agreement

Termination

Termination by You

We may suspend or terminate your account immediately, without prior notice or liability, for any reason, including but not limited to:

  • Fraudulent, abusive, or illegal activity
  • Non-payment of fees
  • Excessive use that impacts our systems or other users
  • Extended periods of inactivity (typically 12 months for free accounts)
  • At our sole discretion for any other reason

Effect of Termination:

  • Your right to access and use the Service will immediately cease
  • We may delete your account and data immediately or after a grace period
  • You will not be entitled to any refund of prepaid fees (except as required by law or if we terminate without cause)
  • You remain liable for any fees incurred prior to termination

Survival

The following provisions will survive termination of these Terms:

  • Payment obligations for services rendered

General Provisions

Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and SylliQ regarding the Service and supersede all prior agreements and understandings.

These Terms are for the benefit of you and SylliQ only and are not intended to confer any rights or benefits on any third party.

We will not be liable for any failure or delay in performing our obligations under these Terms due to circumstances beyond our reasonable control, including but not limited to:

  • Acts of God (natural disasters, pandemics, etc.)
  • War, terrorism, or civil unrest
  • Government actions or regulations
  • Labor disputes or strikes
  • Internet or telecommunications failures
  • Failures of third-party service providers
